TERMS OF SERVICE

By accessing or using our Site and Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you may not use our Site or Services. 

1. ELIGIBILITY 

You must be at least 18 years old and able to form a binding contract with RICEFW to use our Site and Services. By using our Site or Services, you represent and warrant that you meet these eligibility requirements. 

2. SERVICES 

RICEFW provides a range of IT consulting and support services, including but not limited to: 

• Technology strategy and business transformation consulting 

• Custom software development 

• Database infrastructure management 

• Managed IT solutions 

• Quality Assurance and project management 

• Recruitment and staffing for IT projects 

• Other related services as may be agreed upon from time to time 

Specific terms regarding the scope, duration, deliverables, and fees for any Service will be outlined in a separate agreement, proposal, or Statement of Work (“SOW”), which, upon execution, forms an integral part of these Terms. 

3. CLIENT RESPONSIBILITIES 

You agree to: 

• Provide accurate, complete, and timely information required for the performance of the Services. 

• Co–operate with RICEFW team members and designate a contact for communication. 

• Ensure access to necessary systems, data, and environments for RICEFW to perform agreed Services. 

• RICEFW Technologies Inc will deploy adequate security and controls to ensure Confidentiality, Integrity, Availability and Privacy of Client’s data. 

4. FEES & PAYMENT 

• Fees for Services will be as set forth in the applicable SOW, proposal, or agreement. 

• Invoices are payable as per the agreed terms mentioned in the contract. 

• Late payments may be subject to interest charges. 

5. CONFIDENTIALITY 

Both parties agree to maintain the confidentiality of all non-public, proprietary, or confidential information exchanged while performing Services. This obligation remains in effect during and after the termination of Services. 

6. INTELLECTUAL PROPERTY 

Any materials, reports, or software developed by RICEFW during the provision of Services shall be owned as agreed in the relevant SOW or agreement. Pre-existing intellectual property of each party remains the exclusive property of that party. 

7. WARRANTY DISCLAIMER 

Our Site and Services are provided on an “AS IS” and “AS AVAILABLE” basis. RICEFW claims all warranties, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Site or Services will be uninterrupted, error-free, or secure. 

8. LIMITATION OF LIABILITY 

To the fullest extent permitted by law, RICEFW shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from the use of our Site or Services. 

9. INDEMNIFICATION 

You agree to indemnify and hold harmless RICEFW and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses resulting from:  

• Your misuse of the Site or Services 

• Your violation of these Terms
